ARTICLE I NAMES AND OBJECTIVES SECTION1. The name of the organization shall be SCOTTSDALEDOG FANCIERSASSOCIATION,INC.,which will hereinafter be referred to as the "Club". SECTION2. TheobjectivesoftheClubshallbe: (a)Tofurthertheadvancementofallbreedsofpurebreddogs, (b)To do all in its power to protect and advance the interest of all breeds of purebred dogs and to encourage sportsmanlike competition at dog showsand obediencetrials, (c)Toconductsanctionedmatches,dogshows, companion,andperformanceevents forwhichtheclubiseligibleundertheRules andRegulationsofTheAmerican KennelClub. SECTION3. TheClubshallnotbeconductedoroperatedforprofit,andno partofanyprofitsorremainderorresiduefromduesordonationstotheClubshallinureto thebenefitofanymemberorindividual. SECTION4. ThemembersoftheClubshalladoptandmayfromtimetotime revisesuchbylawsasmayberequiredtocarryouttheseobjectives. ARTICLE II MEMBERSHIPSECTION1a. Eligibility:Thereshallbe four typesofmembershipopentoall persons18yearsorolderwhoareingoodstandingwithTheAmericanKennelClub,and whosubscribetothepurposesofthisClub. A fifth type of membership is available for members under the age of 18 years. SingleMembership:Enjoysalltheprivilegesoftheclubincludingtherighttovote andholdoffice. FamilyMembership:Opentotwopersonswhoresideinthesameresidence.They enjoyalltheprivilegesoftheclubandeachindividualshallhaveonevote. Whilemembershipistobeunrestrictedastoresidence,theClub'sprimarypurpose istoberepresentativeofthebreedersandexhibitorsinitsimmediatearea. SECTION1b. Non-voting membership: AssociateMembership:Opentoindividualswhodonotmeettherequirements for regularmembership. Honorary Membership: Bestowed on individual(s) who have provided outstanding service to the world of purebred dogs. Honorary members pay no dues. Junior Membership: Open to individuals under the age of 18 years with an interest in participating in activities of the Club. Junior members pay no dues. SECTION2. Dues.Theannualduesshallbeanamountasestablishedbythe Board,nottoexceed$50.00foranindividualmember,$75.00forafamilymembership, and$50.00foranAssociateMembership.DuesarepayableonorbeforeDecember31stof each year; provided, however, that new members joining during the calendar year shall payduesforthebalanceoftheyearattherateofone-twelfthoftheannualduespermonth.Nomembermayvotewhose duesarenotpaidforthecurrentyear.DuringthemonthofNovember,theTreasurershall sendtoeachmemberastatementofhisduesfortheensuingyear. SECTION3. Election to Membership. Each applicantformembership shallapplyonaformasapprovedbytheBoardofDirectors,andwhichshallprovidethat theapplicantagreestoabidebytheseBylawsandtherulesofTheAmericanKennelClub. Theapplicationshallstatethename,address,andoccupationoftheapplicant,anditshall carrytheendorsementoftwomembersingoodstanding of this club.Accompanyingtheapplication, theprospectivemembershallsubmitduespaymentforthecurrentyear. All applications shall be filed with the Membership Chairman for processing, after whichtheapplicationwillbesubmittedtotheSecretaryforpresentationtotheBoardof Directorsforitsrecommendationtothegeneralmembership. Atthenextregularclub meetingfollowingtheBoardrecommendation,theapplicationwillbepresentedtothe generalmembershipforapproval.Affirmativevotesoftwo-thirdsofthememberspresent andvotingatthatmeetingshallberequiredtoelecttheapplicant. Applicantsformembershipwhohavebeenrejectedare eligible toreapplysix monthsaftersuchrejection. SECTION4. Termination of Membership Membershipsmaybeterminated: (a)ByResignation.AnymemberingoodstandingmayresignfromtheClubupon writtennoticetotheSecretary,butnomembermayresignwhenindebttotheClub.Obligations other than dues areconsideredadebttotheClub andmust be paid in full prior to resignation. (b)ByLapsing.Amembershipwillbeconsideredaslapsedandautomatically terminatedifsuchmember'sduesremainunpaid90daysafterthefirstdayofthefiscal year;however,theBoardmaygrantanadditional90daysofgracetosuchdelinquent membersinmeritoriouscases.InnocasemayapersonbeentitledtovoteatanyClub meetingwhoseduesareunpaidasofthedateofthatmeeting. (c)ByExpulsion.Amembershipmaybeterminatedbyexpulsionasprovidedin ArticleVIIoftheseBylaws. ARTICLE III MEETINGS AND VOTINGSECTION1. Club Meetings. Meetings of the Club shall be held inthe greaterScottsdaleareaonthethirdTuesdayofthemonth,atleastsixtimesperyear,at suchhourandplaceasmaybedesignatedbytheBoardofDirectors.Membersshallbe notifiedinwrittenformbymailorbyemail,atleast7dayspriortothemeetingdate.The quorumforsuchmeetingsshallbe20%ofthemembersingoodstanding. SECTION2. Special Club Meetings. Special Club meetings maybecalled bythePresident,orbyamajorityvoteofthememberswhoarepresentandvotingatany regularorspecialmeetingoftheBoard,andshallbecalledbytheSecretaryuponreceipt of a petition signed by three members of the Club who are in good standing. Such specialmeetingsshallbeheldinthegreaterScottsdaleareaatsuchplace,dateandhour asmaybedesignatedbythepersonorpersonsauthorizedhereintocallsuchmeetings. Writtennoticeofsuchameetingshallbemailedorsentbye-mailbytheSecretaryat leastfivedays,andnotmorethanfifteendayspriortothedateofthemeeting,andsaid notice shall state the specific items of business to be transacted at meeting, and no other Club business may be transactedthereat. The quorumforsuchmeetingsshallbe20%ofthemembersingoodstanding. SECTION3. Board Meetings. Meetings of the Board of Directorsshallbe heldonthefirstTuesdayofthemonth,atleastsixtimesperyear,in the Greater Scottsdale area or at such hour and place as may be designated by the Board. Board members shall be notified in written form by mail or by email at least 5 days prior to the meeting. The quorum for such a meeting shall be a majority of the Board. Meetings may be held by telephone conference or video conference. SECTION4. Special Board Meetings. Special meetings of theBoard maybecalledbythePresidentorshallbecalledbytheSecretaryuponreceiptofa writtenrequest,signedbyatleastthreemembersoftheBoard.Suchspecialmeetings shall be held at such place, date and hour as may be designated by the person authorized herein to call such a meeting. Board members shallbenotifiedbymailatleast10dayspriortothemeetingorbye-mailatleast3days priortothedateofthemeeting.Anysuchnoticeshallstatethespecific items of business to be transacted at themeetingand nootherbusinessshallbetransactedthereat.Aquorumforsuchameetingshallbea majorityoftheBoard. Meetings may be held by telephone conference or video conference. Section 5. The board of directors may permit any or all directors to participate in a regular or special meeting by or conduct the meeting through the use of any means of communication by which all directors participating may simultaneously hear each other during the meeting. A director participating in a meeting by this means is deemed to be present in person at the meeting. SECTION 6a.Voting. Each voting member in good standing, whose dues are paid for the current year, shall be entitled to one vote at any meeting of the Club at which he/she is present. Proxy voting will not be permitted at any Club meeting or election. SECTION6b.LossofVotingPrivileges.Theunexcusedabsenceofavoting member from three (3) consecutive meetings and failure to volunteer and work for at least one club event or activity in the past year. Members may be excused by the Board of Directors for just cause. Members not excused will have their membership changed from voting to non-voting (Associate Member) status.Thedifferenceindueswillbeforfeited. ARTICLE IVDIRECTORS, OFFICERS AND DELEGATE TO THE AMERICAN KENNEL CLUB SECTION1. Board of Directors. The Board of Directors shallbecomprised ofthePresident,VicePresident,Secretary,Treasurer,immediatePastPresident,andthree otherpersons,allofwhomshallbemembersingoodstanding at the time of their nomination, election and throughout their term.Withtheexceptionofthe immediatePastPresident(whoservesinanadvisorycapacity),eachshallhaveonevoteat anyBoardmeeting.Withexceptionoftheimmediatepastpresident,theBoardofDirectors shallbeelectedattheClub'sannualmeeting,asprovidedinArticleVandshallserveuntil theirsuccessorsareelected.GeneralmanagementoftheClub'saffairsshallbeentrusted totheBoardofDirectors. Nonominatedcandidate, officer or directorshallholdan elective office in another all-breed club. SECTION2. Officers. TheClub'sofficers,consistingofthePresident,Vice President, Secretary, and Treasurer, shall serve in their respective capacities both with regardtotheClubanditsmeetingsandtheBoardanditsmeetings. (a)ThePresidentshallpresideatallmeetingsoftheClubandoftheBoard,and, shall have the duties and powers normally appurtenant to the office of President in addition to those particularly specified in these Bylaws. The President may serve ex officio on all club committees except thenominating committee. (b)TheVicePresidentshallsharethedutiesandexercisethepowersofthe President,incaseofthePresident'sdeath,absenceorincapacity. (c)TheSecretaryshallkeeptheminutesofallmeetingsoftheClubandBoardof Directors. The secretary shall maintain a correct list of the names and addressesofallmembers,maintainanaccurateattendancerecord,andhave general supervision over all clerical matters, and books and papers not assignedtootherofficers.Thesecretaryshallnotifyallmembersofregular ClubmeetingsandthemembersoftheBoardofDirectorsofBoardMeetings. The secretary will conduct the correspondence of the Club, and the correspondencewiththeAmericanKennelClub. (d)TheTreasurershallcollectandreceiveallmoniesdueorbelongingtothe Club.TheTreasurershalldepositthesameintoabankdesignatedbythe Board of Directors, in the name of the Club. The Treasurer's books and recordsshall,atalltimes,beopentoinspectionbytheBoardofDirectors. TheTreasurershallreportfinancialstatusateachregularmeeting,and,shall reporttheClub'sfinancialstatusforthepriorfiscalyearatthefirstmeetingof theyear.TheTreasurermay,atthediscretionoftheBoardofDirectors,be bondedforanamountalsotobedeterminedbytheBoardofDirectors.The ClubPresidentmaysubmittheTreasurer'syear-endreporttoanauditing committeeforreviewandapproval.TheBoardofDirectorsmaycallfora formalauditasnecessaryatanytime. SECTION3: AKCDelegate. a)TheAKCDelegateservesatthepleasureoftheBoardofDirectors. b)The AKC Delegate shall be appointed by the Board of Directors. The credentials of the selected delegate will be forwarded to the AKC Executive Secretary for final approval. c)The AKC Delegate may serve as a non-voting member of the Board. However, the AKC Delegate may also serve as a member of the Board of Directors and may hold an office in the Club while serving in the capacity of delegate. Thisappointmentwillbeforatermofthreeyears or until their successor is appointed. d)The AKC Delegate shall attend a minimum of 2 AKC Delegate meetings peryear,MarchandSeptember.Ifheorshedoesnotdoso, theymayberemoved.Failuretoattendanymeetingswithoutjustcause inacalendaryearshallresultinautomaticremovalbytheBoard. SECTION 4. Vacancies. Any vacancies occurring on the Board or among the offices during the year shall be filled for the unexpired term of office by a majority vote of the then members of the Board of Directors at its first regular meeting following the creation of such vacancy, or at a special Board meeting called for that purpose; except that a vacancy in the office of President shall be filled automatically by the Vice President, and the resulting vacancy in the office of Vice President shall be filled by the Board of Directors. Any vacancy in the position of AKC Delegate shall be filled by a majority vote by the Board of Directors at its first regular meeting following the creation of such vacancy.
ARTICLE V CLUB YEAR, ANNUAL MEETING, ELECTIONS SECTION1. ClubYear. TheClub'sfiscalyearshallbeginonthe1stdayof January, and end on the 31st day of December. The Club's official year shall begin immediatelyattheconclusionoftheelectionattheannualmeetingandshallcontinue throughtheelectionatthenextannualmeeting. SECTION2. Annual Meeting The Annual meeting shall be held in the monthofNovember. SECTION3. Elections. Atthe annualmeetingtheofficersfortheensuingyearshallbeelectedby secret,writtenballotfromamongthosenominatedinaccordancewithSection4ofthis Article.The nominated candidate receivinga majority of votes for each office shall be declared elected. The nominated candidates for otherpositionsontheBoardofDirectorswhoreceivea majority ofvotesforsuch positionsshallbedeclaredelected. If there is only one candidate nominated for a particular office, the chair may declare them elected. TheyshalltakeofficeuponthefirstdayofJanuaryintheensuingyear,andeach retiringofficershallturnovertohissuccessorinoffice,allpropertiesandrecordsrelating tothatofficeaftertheelection. SECTION4. Nominations. Nopersonmaybeacandidateina Clubelectionwhohasnotbeennominated.Duringthesummer,theBoardofDirectors shall select a nominating committee, consisting of three members and one alternate, not morethanoneofwhommaybeamemberoftheBoard.ThePresidentshallimmediately notifythecommitteeandalternateoftheirselection.TheBoardofDirectorsshallnamea chairmanforthecommittee,anditshallbehis/herdutytocallacommitteemeeting,which willbeheldonorbeforeSeptember1. (a)The committee shall nominate one candidate for each office, and three candidates for the other positions on the Board of Directors, and after securing the consent of each person so nominated, shall immediatelyreporttheirnominationstothesecretaryinwriting. (b)Uponreceiptofthenominatingcommittee'sreport,theSecretaryshallnotify eachmemberoftheclubinwritingofthecandidatessonominatedatleasttwo weekspriortotheOctobermeeting. (c)Additional nominations may be made at the October meeting by any member present who has the approval of the member so nominated (in writing ifthe membernominatedisnotinattendance).Nominations made at the October meetingmaybemadeonlyfromamongmemberswhohavenotaccepteda nominationfromthenominatingcommittee. (d)Nominationscannotbemadeattheannualmeetingorinanymannerother thanasprovidedinthisSection. ARTICLE VI COMMITTEES SECTION1. TheBoardofDirectorsmayeachyearappointstanding committeestoadvancetheworkoftheClubinsuchmattersasconformation,performance and companion events, trophies, annual prizes, membership, and other fieldswhich may be well servedbycommittees. Such committees shall always be subject tothefinal authority of the BoardofDirectors. Specialcommitteesmayalsobeappointedbythe BoardofDirectorstoaiditonparticularprojects. SECTION2 Anycommitteeappointmentmaybeterminatedbya majorityvoteby theBoardofDirectorsuponwrittennoticetothe appointee, and the Board may appoint successors to those persons whose services have beenterminated. ARTICLE VII DISCIPLINE SECTION1. AmericanKennelClubSuspension.Anymemberwhois suspended from any of the privileges of The American Kennel Club shall automatically be suspendedfromtheprivilegesofthisClubforalikeperiod. SECTION2. Charges. Any member may prefer charges against amember forallegedmisconduct,prejudicialtothebestinterestsoftheClub.Writtenchargeswith specificationsmustbefiledinduplicatewiththeSecretary,togetherwithadepositof $25.00,whichshallbeforfeitedifsuchchargesarenotsustainedbytheBoardofDirectors followingahearing.TheSecretaryshallpromptlysendacopyofthechargestoeach memberoftheBoardofDirectorsorpresentthemataBoardmeeting,andtheBoardshall first consider whether the actions alleged in the charges, if proven, might constitute conductprejudicialtothebestinterestoftheClub.IftheBoardofDirectorsconsidersthat thechargesdonotallegeconduct,whichwouldbeprejudicialtothebestinterestofthe Club,itmayrefusetoentertainjurisdiction.IftheBoardofDirectorsentertainsjurisdiction ofthecharges,itshallfixadateofahearingtotheBoardnotlessthanthree(3)weeksor morethansix(6)weeksthereafter.TheSecretaryshallpromptlysendonecopyofthe chargestotheaccusedmemberbyregisteredmail,togetherwithanoticeofthehearing, andanassurancethatthedefendantmaypersonallyappearinhisowndefenseandbring witnesses,ifhe or shewishes. The Board will follow the disciplinary procedures given in their parliamentary authority to investigate any compliant prior to the hearing to determine whether to recommend that further action, including the proffering of charges, is necessary or warranted. The steps to be followed are as follows: 1.Confidential investigation by acommittee 2.Report of the committee and preferral of charges ifwarranted 3.Formal notification of theaccused 4.Hearing 5.Membership review of the Hearing Committee'sfindings. SECTION3. Board Hearing. The Board of Directors shallhavecom-plete authoritytodecidewhethercounselmayattendthehearing,butbothcomplainantand defendantshallbetreateduniformlyinthatregard.Shouldthechargesbesustainedafter hearingalltheevidenceandtestimonypresentedbycomplainantanddefendant,the BoardofDirectorsmay,byamajorityvoteofthosepresent,either reprimand orsuspendthedefendantfromall privilegesoftheClubfornotmorethansixmonthsfromthedateofthehearing;and,ifit deemsthatpunishmentinsufficient,itmayalsorecommendtothemembershipthatthe penaltybeexpulsion.Insuchcase,thesuspensionshallnotrestrictthedefendant'srightto appearbeforehisfellowmembersattheensuingClubmeetingwhichconsiderstheBoard ofDirectors'recommendation.ImmediatelyaftertheBoardofDirectorshasreacheda decision, its findings shall be put in written form and filed with the Secretary. The Secretary,inturn,shallnotifyeachofthepartiesoftheBoardofDirectorsdecisionand penalty,ifany. SECTION4. Expulsion. ExpulsionofamemberfromtheClubmaybe accomplishedonlyatameetingoftheClubfollowingaBoardhearing,andupontheBoard ofDirectors'recommendationasprovidedinSection3ofthisArticle.Suchproceeding mayoccurataregularorspecialmeetingoftheClubtobeheldwithinsixty(60)days,but notearlierthanthirty(30)daysafterthedateoftheBoardofDirectors'recommendationof expulsion. The defendant shall have the privilege of appearing in his own behalf,though noevidenceshallbetakenatthismeeting.ThePresidentshallreadthechargesandthe BoardofDirectors'findingsandrecommendation,andshallinvitethedefendant,ifpresent, tospeakinhisownbehalf,ifhewishes.Themembersshallthenvotebysecretwritten ballotontheproposedexpulsion.Atwo-thirdvoteofthosepresentandvotingatthe meeting shall be necessary for expulsion. If expulsion is not so voted, the Board of Directors' suspension shallstand ARTICLE VIII PARLIMENTARY AUTHORITY SECTION1. TherulescontainedinthecurrenteditionofRobert'sRulesof Order,NewlyRevised,shallgoverntheClubinallcasestowhichtheyareapplicableand in which they are not inconsistent with these bylaws and any other special rules of ordertheClubmayadopt ARTICLE IX AMMENDMENTS SECTION1. Amendments to the Constitution and Bylaws may beproposed bytheBoardofDirectorsorbywrittenpetition,addressedtotheSecretary,signedby twentypercent(20%)ofthemembershipingoodstanding.Amendmentsproposedby such petition shall be promptly considered by the Board of Directors, and must be submitted to the members with recommendations of the Board of Directors by the Secretaryforavotewithinthree(3)monthsofthedatewhenthepetitionwasreceivedby theSecretary. SECTION2. TheConstitutionandBylawsmaybeamendedbyatwo-thirds voteofthememberspresentandvotingatanyregularorspecialmeetingcalledforthe purpose,providedtheproposedamendmentshavebeenincludedinthenoticeofthe meetingandmailedore-mailedtoeachmemberatleasttwoweekspriortothedateofthe meeting. SECTION3. NoamendmenttotheConstitutionandBylawsthatisadoptedby theClubshallbecomeeffectiveuntilithasbeenapprovedbytheBoardofDirectorsofthe American KennelClub. ARTICLE X DISSOLUTION SECTION1. TheClubmaybedissolvedatanytimebythewrittenconsentof notlessthantwo-thirdsofthemembers in good standing. Exceptforpurposedofreorganization,inthe eventofthedissolutionoftheClub,whethervoluntaryorinvoluntary,orbyoperationof thelaw,noneofthepropertyoftheClub,noranyproceedsthereof,noranyassetsofthe ClubshallbedistributedtoanymembersoftheClub,butafterpaymentofthedebtsofthe Club,itspropertyandassetsshallbegiventoacharitableorganizationforthebenefitof dogs,selectedbytheBoardofDirectors.
